MiSalvo — Terms of Service (United States)

* Awaiting counsel sign-off.

Entity: MiSalvo Inc. (Delaware)

1. Agreement

These Terms of Service (“Terms”) are a contract between you and MiSalvo Inc. (“MiSalvo,” “we,” “us”). They cover the MiSalvo mobile apps (including on Apple iOS and Google Android) and website (the “Service”).

By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

We may update these Terms. We will post the updated version with a new effective date. Material changes will be shown in the app. Continued use after the effective date constitutes acceptance where permitted by law.

2. Eligibility

You must be at least 18 years old to create and own a MiSalvo account. By creating an account you represent that you are 18 or older. We rely on your affirmation; we do not independently verify age at signup unless required by law or Apple / Google store rules.

3. Circle (household), roles, and children

MiSalvo is built for households (“Circle”).

3.1 Bill payer (account holder)

The adult who creates the paying account is the bill payer. They accept these Terms, control billing via Apple and/or Google (depending on storefront), and may invite others and add Juniors (subject to Section 3.3).

3.2 Invited Adults and Seniors

Invited Adults and Seniors create their own MiSalvo profile / session and accept these Terms themselves. They typically use seats on the bill payer’s plan and do not purchase a separate subscription. Each Adult’s Vault is private to them under product rules — joining a Circle does not mean the bill payer can read another Adult’s Vault.

3.3 Juniors (own minor children only)

The bill payer may add their own minor children as Juniors, with parental / guardian attestation. Launch rules:

3.4 Admin

The bill payer may grant Admin for circle operations (e.g. remove / freeze). Admin is not a co-owner of other Adults’ Vaults and does not get ambient Junior paper access beyond product rules.

3.5 Your responsibility

You agree you have authority to invite people you add, and you will not add minors except as allowed above. You are responsible for activity under your account and for safeguarding recovery materials (Section 4).

4. Account, unlock, and recovery

Access is by device biometrics (or device passcode → Restricted Mode) plus recovery materials you hold:

There is no password and no email login.

Important: Because document keys stay with you, if you lose all signed-in devices and your master phrase and Spare Key paths, neither you nor MiSalvo can recover Vault plaintext. Keep your master phrase safe and separate from your only phone when practical.

We do not collect or store biometric templates; unlock uses your device’s operating system.

Restricted Mode and account freeze are product safety features. Freeze and similar controls may limit recovery messaging while active, as designed.

5. Acceptable use

You agree not to use the Service to:

Because of our encryption design, we cannot pre-screen Vault contents. We enforce at the account / metadata level and via valid legal process (Section 7).

6. Abuse limits without reading Vault content

MiSalvo is private household storage and life-admin — not a public social feed. Controls include:

We do not claim content-scanning of encrypted Vault bodies.

7.1 Your content

You keep rights to documents and information you put into MiSalvo. You grant us a limited technical licence to host, sync, encrypt, and deliver content as needed to operate the Service and to carry out sends you initiate.

We do not use your Vault content to train MiSalvo AI models or for advertising.

7.1A Launch AI — cloud label assist (not chat)

MiSalvo may use on-device processing and, when on-device confidence is low, a limited cloud label service (Classify Gateway → contracted enterprise AI provider under no-training terms) to suggest merchant or document-type labels from short text snippets. Details are in the Privacy Policy §4.10.

Your papers stay yours. Staff, advertisers, and ordinary third parties do not get readable Vault documents or your encryption keys. Cloud label assist is not a chat with a person and does not open your Vault for browsing. Only an allowlisted short snippet may go to the contracted automated cloud label service so a label can return. Caps or a kill-switch may disable cloud assist; on-device labelling continues.

We may change which qualifying enterprise provider we use without changing these promises; we will update subprocessor / app-store privacy disclosures when a brand is contracted. Provider retention details are set in the enterprise agreement and described in the Privacy Policy (§4.10) when a brand is contracted.

Salvo letters and claim packs are assembled from templates and structured slots — AI does not write claim letters. If we later add more AI features, we will update these Terms and the Privacy Policy.

7.2 Our platform, trademarks, and limited public materials

The MiSalvo apps, website, catalogs, designs, and technology are owned by MiSalvo Inc. and its licensors. We grant you a limited, personal, non-exclusive, non-transferable licence to use the Service under these Terms.

Trademarks. MiSalvo is a trademark of MiSalvo Inc. (and may be registered or applied for in the United States and other countries). No licence to use our marks is granted except as needed to refer accurately to the Service. You may not copy, imitate, or use our marks in a way that is likely to cause confusion, or suggest sponsorship, without our prior written permission. We intend to protect our marks, including through US registration and, where we choose, international systems such as the Madrid Protocol. Nothing in these Terms waives our right to enforce our intellectual property. We do not claim copyright in the ordinary English word “salvo”; in the Service, Salvo is a product feature name for a gather-and-fire pack.

Limited public technical materials. For transparency, we may publish a small, curated set of technical materials (for example on our website or a public code repository) so users can see aspects of how security is designed. That publication is not a release of the full Service as open source, does not grant rights beyond any licence stated with those materials, and does not waive our copyrights, trademarks, or trade secrets in unpublished code or systems. Do not assume unpublished components may be copied.

Privacy design aim. The Service is engineered toward GDPR-aligned data-protection practices (see Privacy Policy). That is a product design aim for US launch and future markets — not a representation that MiSalvo is GDPR-certified or that UK/EU legal formalities are complete.

We respond to valid US copyright notices under the Digital Millennium Copyright Act. Because Vault content is encrypted, our ability to locate allegedly infringing material inside a Vault is limited; we may act at the account level where appropriate.

Designated agent (U.S. Copyright Office directory — Registration No. DMCA-1077384; status Active as of 4 August 2026):

To submit a copyright infringement notice, email or write the designated agent above with the information required by 17 U.S.C. § 512(c)(3) (identification of the work and the allegedly infringing material, your contact details, a good-faith statement, and your signature under penalty of perjury). We may share your notice with the account holder and may remove or disable access to material, or act at the account level, where appropriate.

8. What MiSalvo does — and does not promise

MiSalvo helps you capture, organise, and retrieve papers, run Missions with your Circle, and assemble Salvos (gather-and-fire packs) that you send. That is preparation and organisation help — not a promise about outcomes.

Third parties (insurers, tax authorities, employers, landlords, agencies, courts, etc.) decide outcomes. To the fullest extent permitted by law, MiSalvo does not promise that you will:

Catalog facts and checklists are procedural references, not legal, tax, insurance, immigration, or benefits advice, and not a guarantee a claim will succeed. MiSalvo does not file with agencies or act as your lawyer, accountant, or agent. Cloud label assist (Section 7.1A) only helps categorise short text — it does not decide claim outcomes.

You decide what to send, when, and to whom.

When you Fire a Salvo, Share a pack or PDF, export, or open a secure link for someone else, you choose the recipient and content. Once information leaves MiSalvo, the recipient’s systems and policies apply. See Privacy Policy §7 (share-outside boundary).

Secure links may be revocable / expiring as implemented in the product. Revocation cannot undo copies already made outside MiSalvo.

If you tap an external link in the app (for example to IRS.gov or another agency or company site), you leave MiSalvo and that third party’s terms and privacy practices apply.

10. Trial, subscriptions, Apple and Google billing

10.1 Store is merchant of record

Paid plans and trials are sold through the Apple App Store and/or Google Play, depending on which store you used. Apple’s or Google’s terms and refund rules apply to that payment. Cancel or manage subscription in your Apple ID / Google Play subscription settings (and any in-app links we provide to that flow).

10.2 Trial

We may offer a 14-day trial from signup. Billing starts when the trial ends if you have an active paid subscription under the applicable store’s rules.

10.3 Who pays

Only the bill payer purchases the plan. Circle invitees use seats on that plan; they are not asked for a second household subscription for Circle membership.

10.4 Auto-renewal

Subscriptions renew automatically unless cancelled under the applicable store’s process before renewal.

10.5 Plan limits and fair use

Plans include storage, seat, and related limits shown in the app / pricing. Limits are enforced by size, format, and account rules — not by inspecting document meaning.

Fair use: the Service is for genuine personal / household life-admin. We may give notice and ask you to reduce use or move tiers if use is materially and persistently beyond normal household use for your plan (e.g. bulk hosting / resale). We do not use dark-pattern upgrade nags as the enforcement model.

11. Cancelling billing vs deleting your account

Cancel subscription (Apple / Google): stops paid renewal per that store; does not by itself wipe your account.

1. Download / confirm export of your data

2. Schedule deletion

3. 14-day cooling-off (cancel anytime before due)

4. Hard wipe of data we control

Circle exits: You may Leave quietly or Leave safely (save shared papers into your Vault first) as implemented. Quiet leave is designed so the other side is not push-notified about why you left. Owner removal of a member may include an in-app migration window for shared docs.

We may suspend or terminate accounts that breach these Terms or where required by law.

12. “As is” disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.

Some states do not allow certain disclaimers; some rights may still apply.

13. Limitation of liability

To the maximum extent permitted by applicable US law, MiSalvo’s total liability arising out of or related to the Service or these Terms is capped at the greater of (a) US $100 or (b) the amounts you paid to MiSalvo for the Service in the twelve (12) months before the claim (via Apple or Google, as attributable to your subscription). Indirect, incidental, special, consequential, and punitive damages are excluded to the fullest extent permitted.

Some states do not allow certain limitations; some rights may still apply.

14. Indemnity

To the extent permitted by law, you agree to defend and hold MiSalvo harmless from claims arising from your misuse of the Service or your breach of these Terms, except to the extent caused by MiSalvo’s willful misconduct.

15. Governing law

These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules, except that consumer-protection laws of your state of residence may still apply.

16. Dispute resolution

Please contact us first in-app (Account → Help) so we can try to resolve the issue. If we cannot resolve it, disputes will be handled in the state or federal courts located in Delaware, USA, except where consumer-protection laws of your place of residence require otherwise, or where small-claims court is available to you.

17. General

If any provision is unenforceable, the rest remains in effect. Failure to enforce is not a waiver. You may not assign these Terms without our consent; we may assign them in a corporate transaction. These Terms plus the Privacy Policy are the entire agreement regarding the Service.
